Terms and conditions


      General terms and conditions of collaboration - custom made knitwear


      Before the customer can place an order, there must be a written agreement on the price and technical specifications of each product of that particular collection. Also, the relevant prototype sample must be approved by the customer. 

      Orders must be placed by e-mail in order to avoid errors and/or misunderstandings of both parties. Solid Crafts does not accept telephone orders. 

      Orders must always be delivered with the correct model name, color name, reference numbers and codes as agreed between customer and Solid Crafts before. 

      When placing an order the customer receives an order confirmation (Orco) from Solid Crafts in which the most important data are repeated: type of product, numbers, sizes, colors, materials, price per unit, estimated delivery time, names to be used, reference numbers and codes, special conditions. These data are used consistently and unambiguously throughout all further communication by both customer and Solid Crafts.

      All samples and produced items are delivered to the customer unwashed as standard. At the request of the customer, the items can be washed. This is confirmed electronically by the customer. The customer bears the corresponding additional costs.

      The order confirmation contains a target date for delivery, but this date can never be binding. 

      This order confirmation must be approved by the customer by email to the relevant account manager of Solid Crafts. 

      An order can only be confirmed after payment of the advance payment.

      Order Quantities

      Solid Crafts uses minimum order quantities (MOQ) per product type and price category.

      Prices depend on the size of the order. 

      - Large items (sweaters, scarves, plaids, ...) > 70 items per model, minimum order 10 000 € / 12 000 $.
      - Small items (beanies, headbands, ...) > 100 items per model, minimum order volume 5 000 € / 6 000 $
      - Minimum multiples of 5 per colour / model / size
      - If combination of large or small items: minimum order volume of 10 000 € / 12 000 $
      - Depending on the yarn supplier, MOQs range from 1 kg for stock service yarn to 60 kg for non-stock service yarn, of which 30 kg per colour.  

      The customer has the obligation to buy the remaining yarn if the order does not use up the MOQ. This can be in the form of strands or balls of 100 grams or in yarn cones of 1 kg. Processing the yarn into strands has an additional cost.

      If the customer, after agreeing on the prices and quantities, places an order that is not in line with the above mentioned minimum quantities per model, the agreed prices do not apply. Prices must first be re-approved before proceeding to production.

      Additional orders

      Additional orders must be discussed and agreed with Solid Crafts in good time. Solid Crafts only allows additional orders when the required production capacity and materials are available. Numbers and delivery time are decided in consultation between Solid Crafts and the customer. 

      The customer places the additional order by e-mail to Solid Crafts. The terminology of the original order remains unchanged. Solid Crafts sends the customer an order confirmation, as with the original order. The customer also approves this by email to the assigned account manager of Solid Crafts. 

      Changes

      If the client wishes to change an order after Solid Crafts' approval of the order confirmation, Solid Crafts reserves the right to refuse.

      If the client wants to change a model after Solid Crafts’ approval of the order confirmation, Solid Crafts reserves the right to refuse this and only allow this to the extent possible with regard to delivery time and technicality. Solid Crafts also reserves the right to change the production price if necessary.

      If Solid Crafts agrees to change the order, the customer will be charged an administrative penalty on top of the order amount. An amount of 10% of the order amount will be charged additionally. 

      Orders can no longer be changed once the materials have been ordered from the yarn suppliers. The customer must also accept and pay for the goods already produced, if yarn materials have already been ordered.

      Solid Crafts applies following sampling procedure:

      - Sampling based on a specific product description with pattern or (re-)production of the customer sample 

      Generally applicable for the sampling procedure: 
      - A sample cost is communicated to the customer and agreed with the customer.

      - A start-up fee is not charged. However, in case of an initial cooperation with the customer involved, this customer will pay in advance the full estimated cost for making the prototype samples. Only after this 100% prepayment of the sample costs Solid Crafts starts sample production. In case of clearly demonstrable errors made by Solid Crafts to a rejected sample, Solid Crafts will refund this advance payment to this customer.

      - If the prototype sample was made in a different yarn than the one provided for final production - as agreed with the customer - Solid Crafts will always make a final pre-production sample (PPS) before the start of production and discuss it with the customer. This PPS cost is on the customer’s account. Production will only really start after approval of this PPS by the customer. If the customer does not approve, Solid Crafts will discuss a new delivery date with the customer.


      - Samples are delivered to the customer unwashed as standard. At the request of the customer, the pieces can be washed. This is confirmed electronically by the customer. The customer bears the corresponding additional costs.


      - The client always sends a formal sample approval to the account manager.

      Solid Crafts does not start the (re-)production of the customer sample until the customer delivers the following:

      - A correct and complete pattern, when sampling on the basis of a specific product description with pattern.

      If Solid Crafts does not find the pattern sufficiently clear, Solid Crafts will communicate this to the client. After consultation either the client adjusts the pattern himself for approval by Solid Crafts, or Solid Crafts adjusts it itself and charges the hourly costs to the client.

      - When based on a physical sample: a final customer sample, preferably in the right type of yarn and in 1 production size. If the customer does not deliver in the correct yarn, Solid Crafts is not responsible for the effect that the chosen material has on the first sample (in terms of weight, touch, dimensions, look and feel, required production time).

      - Estimation of the number of hours spent by the customer on the production of the given physical sample

      If a standard product sheet is available for the product in question, the customer will provide this to Solid Crafts.

      The customer sends 2 physical samples to Solid Crafts in Belgium, for a first opinion, which sends 1 to the workshop in Peru. One physical sample remains with Solid Crafts, the other can be returned to the customer afterwards.

      The shipping costs, from the customer to Solid Crafts in Belgium as well as from Belgium to the Peru workshop, are for the customer. Transportation costs are always calculated and settled separately by Solid Crafts.

      Before production of the sample is started, a price is agreed with the customer. After production of the sample a standard photo report and product sheet are sent by Solid Crafts to the customer. Upon approval, the sample is physically sent to the customer for final approval, and the customer bears the associated transportation costs.

      If the customer does not approve the sample based on the photo report, a new sample will be created. A sample cost for the client will be communicated by Solid Crafts and agreed with the client. The customer will bear the costs of sampling that have already been incurred. 

      At the end of the sampling process, the customer must physically approve the sample. The customer sends a formal sample approval to the account manager.

      Based on the final production time and materials used of the approved physical sample, a final product price is determined and agreed.

      As soon as the just mentioned approvals and agreements are in place, the production of the salesman samples (SMS) can start in the workshop in Peru. Solid Crafts does not accept the production of salesman samples without prior customer approval. In consultation with the client, Solid Crafts can make an exception if it concerns a well-known or recurring model.

      If client makes changes to the SMS this must be accepted clearly by Solid. Client assumes the related costs to these changes and the production of the adapted sample is assumed by client at double sample cost.  

      Unless otherwise stated, all prices are in euros excluding VAT, and in US dollars (USD) for other customers.

      Prices are valid for a maximum of 5 months unless otherwise indicated on the price list.

      All prices are exclusive of transportation costs, insurance costs and import duties unless specifically stated on the price list.

      A WFTO 'first buyer' label can be delivered at an additional cost of 0.1 $ per label. The client must also pay the WFTO 'license fee' of 1% of the client's purchase cost (VAT. excl.) to Solid Crafts for those products on which the client wants to use the label.

      If import duties have to be paid because of problems in the transport process, the client will have to pay them unless it can be proven that they were caused by a serious error on the part of Solid Crafts itself. In other words, if third parties are the cause of the unexpected extra costs then Solid Crafts can never be held liable.

      Agreements on prices must be made by e-mail and are only valid for the products produced for that particular collection (Collections are seasonal and product type-specific).

      Solid Crafts can provide photographic material and other information from workshops in Peru and knitting women, as well as from the social projects in which Solid Crafts invests. These may be used by the client for marketing purposes provided that photographers are correctly referenced. For this we refer to annex. The use of this material is free, but not exclusive. Solid Crafts reserves the right to give the material to others as well.

      If the client desires exclusive branding material, he is, of course, welcome to visit our workshop. Also, the workshop in Peru can provide tailor-made material, but this comes with an additional cost. 

      Solid Crafts reserves the right to make partial deliveries, in consultation with the client. 

      If already agreed upon at the time of writing out the order confirmation, this order confirmation by Solid Crafts will mention an Incoterm 2010 that was chosen together with the client and whose delivery agreements are valid for the order in question. If not yet agreed upon at the time of order confirmation, this will be chosen later with the client and communicated by Solid Crafts to the client at that time. 

      Solid Crafts reserves the right to use third parties for the execution of delivery and transportation services.

      Solid Crafts is not obliged to fulfill its commitments in case of force majeure, act of god or fait du prince.

      In case of Force Majeure, Solid Crafts will inform the client immediately and in writing, and provide the necessary evidence.

      Solid Crafts will take all reasonable measures to limit the effect of the invoked event on the execution of its commitments.

      In case the client does not take delivery of the goods or does not take delivery on time, Solid Crafts will store the goods at the expense and risk of the client.   All costs incurred by Solid Crafts as a result of the client's failure to take delivery on time are on account of the client.

      If packages or products are lost or damaged in the transport process, the client will still proceed to pay the full invoice on the agreed dates.
       
      Together with the customer it will be determined which of the two bears the risk, depending on the agreed Incoterm. If Solid Crafts bore the risk, Solid Crafts will call on its insurance and a credit note will be issued to the client afterwards.


      Payments are made in the currency of the invoice and by transfer to the account of Solid Crafts.

      When placing an order, the customer pays an advance of 50%, with which the workshop in Peru can purchase the yarns for that order.

      The remaining 50% will be paid within 14 days after receiving the invoice. In case of partial deliveries, the customer will receive the relevant invoice after each partial delivery.

      In case of discussions about quality and/or quantities delivered, the invoice will be paid in full, any compensation will be settled by means of a credit note afterwards. In other words, the customer cannot demand postponement of payment of the invoice due to problems or discussions of part of the invoice.

      In case not all outstanding claims have been paid by the client, Solid Crafts has the right to refuse further orders and suspend further deliveries.

      If the customer is in default of payment within the period of 14 days, the buyer is legally in default. The client will then owe an interest of 1% per month, unless the legal interest rate is higher, in which case the legal interest rate applies. The interest on the amount due and payable will be calculated from the moment the buyer is in default until the moment of payment in full.


      Defects will be sent in writing to the account manager of Solid Crafts, as well as possible return requests.

      Goods will only be returned after consultation with and agreement by Solid Crafts.

      The customer will immediately and fully inspect the delivered goods. Deviations in the number of packages and defects that manifest or may manifest themselves when opening these packages must be reported within 8 days after delivery.

      Any defect that reveals itself later and that the customer could not have discovered earlier must be reported by the customer at the latest on the eighth day after its discovery or after the moment that the defect in question could have been discovered. If the customer does not act in accordance with the obligations of this paragraph, any right of claim of the customer in this regard will lapse.

      Products with defects and deviations will only be taken back (and refunded) by Solid Crafts if it can be clearly demonstrated that a production error has occurred. Solid Crafts will also bear the cost of returning the goods, i.e. the cost of transportation from the place where the goods were initially delivered to Solid Crafts and back.

      A production error means not respecting the instructions and technical details of every product of which physical sample(s) have been approved. These are always checked on unwashed items (samples and production items). Nevertheless, due to the nature of the production method, being manual work, some tolerance of the customer is required. Permitted deviations are sizes of small items (hats, headbands, collars, gloves, socks, ...) that are less than 1 cm between the smallest and largest piece of the model concerned and sizes of large items (scarves, jumpers, plaids, ...) that are less than 2 cm between the smallest and largest piece of the model concerned with respect to the approved pattern. Deviations in dimensions of more than the respective 1cm and 2cm are production errors. Production errors also include: holes, seams that open, loose threads, loose fleece, loose or wrongly attached hangtags, washing labels, brand name labels, ... .

      If there is disagreement about the nature of the defect, a neutral third party with expertise in knitting / crochet is asked to make a statement about the nature of the defect and to determine whether or not it is a production defect.

      In case the products are still marketable and with the approval of the customer, Solid Crafts can give a discount on the rejected products. If deviations have been found due to production errors that can be repaired flawlessly and invisibly, Solid Crafts is not obliged to take them back. However, Solid Crafts is responsible for repairing these products and returning them to the client within a period of 1 month.  If the client is not located in Belgium, these deviations can be repaired locally by the client at the expense of Solid Crafts subject to prior agreement of Solid Crafts on the price of the repair.

      Because Solid Crafts supplies goods that consist largely of raw materials manufactured by third parties, Solid Crafts cannot provide the client with a more extensive warranty regarding the quality and/or proper functioning of these goods than the warranty Solid Crafts has obtained from its supplier. If the supplier does not provide such a warranty, Solid Crafts cannot provide a warranty either. Defects related to this can be: stretching of products, fluffing of yarn, breaking of yarn, discoloration of yarn both before and after delivery of the products, different texture or touch of the knit as a result of a lack of yarn.

      Goods that have been worn or goods that have been used for other purposes can never be taken back unless there is a demonstrable problem at a later stage. Such as, for example, loose seams. Deviations in dimensions due to stretching, shrinking, holes, lint will not be accepted as a reason for return after wearing, using or washing the product incorrectly. 

      The customer agrees that customer's products due to overproduction, locally detected quality errors and training, may be sold on the local market in Ayacucho. The sale may only take place in Ayacucho, Peru itself and the sales price may be freely determined by Solid Crafts itself.

      Ownership of the goods sold, notwithstanding actual delivery, will not pass to the client until the client has paid in full what he owes Solid Crafts for these goods, including the purchase price, any surcharges, interest, taxes and costs due pursuant to these General Terms and Conditions or the agreement. Any amount received from the client will first be used to settle any claims Solid Crafts may have on the client. Thereafter, any amount received from the client will first be used to pay any interest and costs owed.


      The customer accepts that these general terms and conditions apply to the exclusion of the customer's general terms and conditions, even if they should claim to be the only ones applicable. 

      In case of disputes, the Courts of Ghent, Belgium have jurisdiction.

      Belgian law is applicable to these general terms and conditions.


      - counter sample: can be defined as the reference sample of the original sample. The counter sample is made the same way as the original sample and sent to the producer.

      - Diamanta: is the legal name of the knitting workshop in Ayacucho, Peru.  The legal entity is Diamanta sac, where sac stands for ‘sociedad anónima cerrada, which is a legal form of business in Peru.

      - first sample: synonyms: original sample, sample test garment, development sample, design sample.  This is a sample made from the first pattern and intended to test the designer’s idea or concept in the chosen fabrication.  If design, fabrication and fit of this sample come out as planned and doesn’t need corrections, it is approved and becomes the prototype sample.

      - incoterms: Incoterms are delivery conditions (model arrangements that determine the duties, costs and risk transfer of buyers and sellers in the delivery of goods under both domestic and international sales and purchase contracts) .

      - model:  coincides with the same pattern. Various colours of the same product (same pattern) are 1 model. Another pattern (e.g. the ‘same’ sweater but striped pattern) means another model. Style can be used as synonym, however Solid Crafts will use the term model.

      - orco: order confirmation of Solid Crafts to the customer. Stands for 'order confirmation'.

      - Product sheet: design of the model in clarification of the sizes, dimensions, measurements of the model.

      - prototype sample: synonym = proto. This sample is the result of previous iterations, the version that meets the designer’s test for execution.

      - pre-production sample (pps):  Synonym  =  salesman’s sample This  sampling stage is to prove the pattern, test cost effectiveness and consistency in production.  If the sample is approved, pre-production samples (salesman’s samples) are used to pre-sell the product.   The pre-production sample can be used for sales and marketing. 

      - salesman’s sample: synonym = sales sample, selling samples.   Ideally the pre-production sample can be used for sales and marketing. Salesman’s sample is the sample used for pre-selling the product. 

      standard photo report: photographs of samples worn by persons of average size and photographs of the knitted product with measurements indicated.

      - WFTO ‘first buyer’ – label: World Fair Trade Organisation. If a company sells product from Guaranteed Fair Trade Organisation – like the Peruvian workshop of Solid - under its own brand, the company is considered a First Buyer and can use the label. The cost related to the use of this label is defined by WFTO: the licensing fee is 1% of the purchase order of those products on which the brand wants to use the label with a minimum of €100 per year.

       

      Footage (photo, video,...) relating to Solid's activities in Peru, India and Kenya can be used in social media channels, online on one's own website or in print or shop communication, subject to the following conditions:

      1. The general message within which this picture and text is "published" must be directly related to what Solid stands for and the activities of Solid. This can be about fair workshops, 'handmade' products, sustainable suppliers, producer, sustainable production... (not exhaustive). This can also be an indirect product link, e.g. general about sustainability etc...

      2. Indication 'Solid' with the image

      3. Mention of 'Solid' in the accompanying text / frame ... If text / frame do not match the image of Solid, this image of Solid may not be used there. Ideally, reference should be made to the Solid website www.solidinternational.be.

      4. In the case of other desired use of footage, the question is addressed to Solid, indicating on what carriers, for what purposes, when, ...
      Solid may or may not give approval for this.
      Solid also indicates which mention - with the photo, the image, in accompanying text, .... -should be used.

      5. Also mention with the image of © photographer or other source in addition to Solid, if applicable.

      6. Footage can not be taken from communication from Solid (online, offline, ...) and used in own communication without appointment and permission of Solid.

      Exclusive footage can always be provided for the client. This must be further discussed, tuned and worked out with Solid.

      If the conditions are not respected, Solid may consider terminating the cooperation.

There is no minimum order value; a sample cost (5 * sales estimated price) and a start up cost of 1 000 € / 1 500 usd (vat excl.) are installed. When order value is 10 000 euro / 12 500 usd (vat excl) there is no start up cost and sample cost is lowered.
      Minimum multiples of 10 per colour / model / size

      If the customer, after agreeing on the prices and quantities, places an order that is not in line with the above mentioned minimum quantities per model, the agreed prices do not apply. Prices must first be re-approved before proceeding to production.



      Additional orders

Only after this 100% prepayment of the sample costs Solid Crafts starts sample production. In case of clearly demonstrable errors made by Solid Crafts to a rejected sample, Solid Crafts will refund this advance payment to this customer.

      If import duties have to be paid because of problems in the transport process, the client will have to pay them unless it can be proven that they were caused by a serious error on the part of Solid Crafts itself. In other words, if third parties are the cause of the unexpected extra costs then Solid Crafts can never be held liable.

      Agreements on prices must be made by e-mail and are only valid for the products produced for that particular collection (Collections are seasonal and product type-specific).

      Solid Crafts can provide photographic material and other information from workshops in Peru and knitting women, as well as from the social projects in which Solid Crafts invests. These may be used by the client for marketing purposes provided that photographers are correctly referenced. For this we refer to annex. The use of this material is free, but not exclusive. Solid Crafts reserves the right to give the material to others as well.

      If the client desires exclusive branding material, he is, of course, welcome to visit our workshop. Also, the workshop in Peru can provide tailor-made material, but this comes with an additional cost. 

      Solid Crafts reserves the right to make partial deliveries, in consultation with the client. 

      If already agreed upon at the time of writing out the order confirmation, this order confirmation by Solid Crafts will mention an Incoterm 2010 that was chosen together with the client and whose delivery agreements are valid for the order in question. If not yet agreed upon at the time of order confirmation, this will be chosen later with the client and communicated by Solid Crafts to the client at that time.

      Solid Crafts reserves the right to use third parties for the execution of delivery and transportation services.

      Solid Crafts is not obliged to fulfill its commitments in case of force majeure, act of god or fait du prince.

      In case of Force Majeure, Solid Crafts will inform the client immediately and in writing, and provide the necessary evidence.

      Solid Crafts will take all reasonable measures to limit the effect of the invoked event on the execution of its commitments.

      In case the client does not take delivery of the goods or does not take delivery on time, Solid Crafts will store the goods at the expense and risk of the client.   All costs incurred by Solid Crafts as a result of the client's failure to take delivery on time are on account of the client.

      If packages or products are lost or damaged in the transport process, the client will still proceed to pay the full invoice on the agreed dates.
       
      Together with the customer it will be determined which of the two bears the risk, depending on the agreed Incoterm. If Solid Crafts bore the risk, Solid Crafts will call on its insurance and a credit note will be issued to the client afterwards.


      Payments are made in the currency of the invoice and by transfer to the account of Solid Crafts.

      When placing an order, the customer pays an advance of 50%, with which the workshop in Peru can purchase the yarns for that order.

      The remaining 50% will be paid within 14 days after receiving the invoice. In case of partial deliveries, the customer will receive the relevant invoice after each partial delivery.

      In case of discussions about quality and/or quantities delivered, the invoice will be paid in full, any compensation will be settled by means of a credit note afterwards. In other words, the customer cannot demand postponement of payment of the invoice due to problems or discussions of part of the invoice.

      In case not all outstanding claims have been paid by the client, Solid Crafts has the right to refuse further orders and suspend further deliveries.

      If the customer is in default of payment within the period of 14 days, the buyer is legally in default. The client will then owe an interest of 1% per month, unless the legal interest rate is higher, in which case the legal interest rate applies. The interest on the amount due and payable will be calculated from the moment the buyer is in default until the moment of payment in full.

      Defects will be sent in writing to the account manager of Solid Crafts, as well as possible return requests.

      Goods will only be returned after consultation with and agreement by Solid Crafts.

      The customer will immediately and fully inspect the delivered goods. Deviations in the number of packages and defects that manifest or may manifest themselves when opening these packages must be reported within 8 days after delivery.

      Any defect that reveals itself later and that the customer could not have discovered earlier must be reported by the customer at the latest on the eighth day after its discovery or after the moment that the defect in question could have been discovered. If the customer does not act in accordance with the obligations of this paragraph, any right of claim of the customer in this regard will lapse.

      Products with defects and deviations will only be taken back (and refunded) by Solid Crafts if it can be clearly demonstrated that a production error has occurred. Solid Crafts will also bear the cost of returning the goods, i.e. the cost of transportation from the place where the goods were initially delivered to Solid Crafts and back.

      A production error means not respecting the instructions and technical details of every product of which physical sample(s) have been approved. These are always checked on unwashed items (samples and production items). Nevertheless, due to the nature of the production method, being manual work, some tolerance of the customer is required. Permitted deviations are sizes of small items (hats, headbands, collars, gloves, socks, ...) that are less than 1 cm between the smallest and largest piece of the model concerned and sizes of large items (scarves, jumpers, plaids, ...) that are less than 2 cm between the smallest and largest piece of the model concerned with respect to the approved pattern. Deviations in dimensions of more than the respective 1cm and 2cm are production errors. Production errors also include: holes, seams that open, loose threads, loose fleece, loose or wrongly attached hangtags, washing labels, brand name labels, ... .

      If there is disagreement about the nature of the defect, a neutral third party with expertise in knitting / crochet is asked to make a statement about the nature of the defect and to determine whether or not it is a production defect.

      In case the products are still marketable and with the approval of the customer, Solid Crafts can give a discount on the rejected products. If deviations have been found due to production errors that can be repaired flawlessly and invisibly, Solid Crafts is not obliged to take them back. However, Solid Crafts is responsible for repairing these products and returning them to the client within a period of 1 month.  If the client is not located in Belgium, these deviations can be repaired locally by the client at the expense of Solid Crafts subject to prior agreement of Solid Crafts on the price of the repair.

      Because Solid Crafts supplies goods that consist largely of raw materials manufactured by third parties, Solid Crafts cannot provide the client with a more extensive warranty regarding the quality and/or proper functioning of these goods than the warranty Solid Crafts has obtained from its supplier. If the supplier does not provide such a warranty, Solid Crafts cannot provide a warranty either. Defects related to this can be: stretching of products, fluffing of yarn, breaking of yarn, discoloration of yarn both before and after delivery of the products, different texture or touch of the knit as a result of a lack of yarn.

      Goods that have been worn or goods that have been used for other purposes can never be taken back unless there is a demonstrable problem at a later stage. Such as, for example, loose seams. Deviations in dimensions due to stretching, shrinking, holes, lint will not be accepted as a reason for return after wearing, using or washing the product incorrectly. 

      The customer agrees that customer's products due to overproduction, locally detected quality errors and training, may be sold on the local market in Ayacucho. The sale may only take place in Ayacucho, Peru itself and the sales price may be freely determined by Solid Crafts itself.

      Ownership of the goods sold, notwithstanding actual delivery, will not pass to the client until the client has paid in full what he owes Solid Crafts for these goods, including the purchase price, any surcharges, interest, taxes and costs due pursuant to these General Terms and Conditions or the agreement. Any amount received from the client will first be used to settle any claims Solid Crafts may have on the client. Thereafter, any amount received from the client will first be used to pay any interest and costs owed.


      The customer accepts that these general terms and conditions apply to the exclusion of the customer's general terms and conditions, even if they should claim to be the only ones applicable. 

      In case of disputes, the Courts of Ghent, Belgium have jurisdiction.

      Belgian law is applicable to these general terms and conditions.


      - counter sample: can be defined as the reference sample of the original sample. The counter sample is made the same way as the original sample and sent to the producer.

      - Diamanta: is the legal name of the knitting workshop in Ayacucho, Peru.  The legal entity is Diamanta sac, where sac stands for ‘sociedad anónima cerrada, which is a legal form of business in Peru.

      - first sample: synonyms: original sample, sample test garment, development sample, design sample.  This is a sample made from the first pattern and intended to test the designer’s idea or concept in the chosen fabrication.  If design, fabrication and fit of this sample come out as planned and doesn’t need corrections, it is approved and becomes the prototype sample.

      - incoterms: Incoterms are delivery conditions (model arrangements that determine the duties, costs and risk transfer of buyers and sellers in the delivery of goods under both domestic and international sales and purchase contracts) .

      - model:  coincides with the same pattern. Various colours of the same product (same pattern) are 1 model. Another pattern (e.g. the ‘same’ sweater but striped pattern) means another model. Style can be used as synonym, however Solid Crafts will use the term model.

      - orco: order confirmation of Solid Crafts to the customer. Stands for 'order confirmation'.

      - Product sheet: design of the model in clarification of the sizes, dimensions, measurements of the model.

      - prototype sample: synonym = proto. This sample is the result of previous iterations, the version that meets the designer’s test for execution.

      - pre-production sample (pps):  Synonym  =  salesman’s sample This  sampling stage is to prove the pattern, test cost effectiveness and consistency in production.  If the sample is approved, pre-production samples (salesman’s samples) are used to pre-sell the product.   The pre-production sample can be used for sales and marketing. 

      - salesman’s sample: synonym = sales sample, selling samples.   Ideally the pre-production sample can be used for sales and marketing. Salesman’s sample is the sample used for pre-selling the product. 

      standard photo report: photographs of samples worn by persons of average size and photographs of the knitted product with measurements indicated.

      - WFTO ‘first buyer’ – label: World Fair Trade Organisation. If a company sells product from Guaranteed Fair Trade Organisation – like the Peruvian workshop of Solid - under its own brand, the company is considered a First Buyer and can use the label. The cost related to the use of this label is defined by WFTO: the licensing fee is 1% of the purchase order of those products on which the brand wants to use the label with a minimum of €100 per year.

       

      Footage (photo, video,...) relating to Solid's activities in Peru, India and Kenya can be used in social media channels, online on one's own website or in print or shop communication, subject to the following conditions:

      1. The general message within which this picture and text is "published" must be directly related to what Solid stands for and the activities of Solid. This can be about fair workshops, 'handmade' products, sustainable suppliers, producer, sustainable production... (not exhaustive). This can also be an indirect product link, e.g. general about sustainability etc...

      2. Indication 'Solid' with the image

      3. Mention of 'Solid' in the accompanying text / frame ... If text / frame do not match the image of Solid, this image of Solid may not be used there. Ideally, reference should be made to the Solid website www.solidinternational.be.

      4. In the case of other desired use of footage, the question is addressed to Solid, indicating on what carriers, for what purposes, when, ...
      Solid may or may not give approval for this.
      Solid also indicates which mention - with the photo, the image, in accompanying text, .... -should be used.

      5. Also mention with the image of © photographer or other source in addition to Solid, if applicable.

      6. Footage can not be taken from communication from Solid (online, offline, ...) and used in own communication without appointment and permission of Solid.

      Exclusive footage can always be provided for the client. This must be further discussed, tuned and worked out with Solid.

      If the conditions are not respected, Solid may consider terminating the cooperation.


      General terms and conditions Solid products.

      Delivery
      The ordered goods are shipped at the latest 6 working days after receiving the order. Within Belgium, the package is normally delivered within 2 to 3 working days after dispatch; for the Netherlands, Luxembourg and Germany (and by extension the rest of the EU), this is 1 to 2 working days longer. No delay in delivery can give rise to cancellation of the purchase or payment of damages to the buyer, except in the case of deliberate delay. Erroneously communicated delivery addresses are the responsibility of the buyer and may give rise to additional costs. Unless otherwise specified, our prices do not include the transport from Solid to the customer's premises, nor the delivery of the goods to the buyer; these costs are specified separately. We are entitled to make partial deliveries. In the event of non-delivery of the goods, any sums paid by the purchaser shall be refunded without interest or other compensation. 

      Cost of delivery 

      When dispatching goods, the customer takes over the shipping costs in accordance with dispatch from Solid's office in Ghent, Belgium to the customer's address.

              o From Belgium to Belgium = 5.95 euro for all parcels up to 10 kg.          
              o From Belgium to the Netherlands, Luxembourg, Germany, France

      Return policy
      Not entirely satisfied with your purchase? No problem, through the following steps you can exchange your purchase for another item or credit: 

      - Send an e-mail to hello@solidinternational.be no later than 14 days after delivery with the subject 'return'.
      - Send the article(s) back to us within 14 days after receipt to the following address: Solid vzw, Kortrijksesteenweg 697, 9000 Ghent, Belgium
      - Send us the tracking number of the return shipment by e-mail so we can follow up on the return.

      Which products qualify?

      - Articles in original (unworn + undamaged) condition + with label.
      - Return shipments that have not been notified in advance via e-mail and confirmed by the organisation, insufficient postage, already washed or sale items will not be accepted.

              - All our articles are carefully checked and packed. Never accept damaged packages + check your package upon receipt. If you notice            any damage to an article, please inform us within 48 hours after receipt via e-mail. Add photos for clarification.

      Return

      The costs for a return to Solid and reshipment to the buyer are fully covered if the delivered product is not the same as you ordered and as indicated on the order confirmation or if the product has arrived damaged.

      Exchange
      The shipping costs to Solid for exchanges without one of the above-mentioned reasons (damage or not in accordance with the order) must be paid by the buyer. This applies to both the return and the new shipping costs.

      The buyer must always be able to present a tracking code, proof of shipment, when returning a package at his own expense.

      Sales - discount - customized products

      Sales or sales cannot be exchanged and/or returned (volume discounts as described above do not fall under sales or sales). This also applies to customised or specially ordered goods.
